Agreement to Terms

By accessing or using FlashWeb services, operated by Devra, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Description of Services

FlashWeb provides website design and development services for local businesses. Our unique approach involves researching your business and creating a website preview before you commit to purchase. Services include website creation, hosting, maintenance, and support as described in your service agreement.

Free Preview Policy

Our free preview service is subject to the following terms:

• Previews are provided at no cost and with no obligation to purchase
• Preview websites remain our property until purchased
• We reserve the right to remove unpurchased previews after 30 days
• You may not use, copy, or distribute preview content without purchasing the website

Payment Terms

When you decide to purchase your website:

• Payment is due according to the terms specified in your invoice
• All prices are in USD unless otherwise specified
• Recurring services (hosting, maintenance) are billed as agreed
• Late payments may result in service suspension
• Refunds are handled on a case-by-case basis

Your Responsibilities

As a FlashWeb customer, you agree to:

• Provide accurate business information
• Ensure you have rights to any content you provide (logos, images, text)
• Not use the website for illegal, harmful, or fraudulent purposes
• Keep your account credentials secure
• Comply with all applicable laws and regulations
• Pay all fees when due

Intellectual Property

Regarding ownership and rights:

• Upon full payment, you own your website's custom content
• We retain rights to underlying code, templates, and design systems
• Third-party assets (fonts, stock images) are subject to their respective licenses
• We may showcase your website in our portfolio unless you opt out

Service Level

We strive to maintain 99.9% uptime for hosted websites. However, we cannot guarantee uninterrupted service due to factors beyond our control (internet outages, server maintenance, force majeure events). We will notify you of scheduled maintenance whenever possible.

Limitation of Liability

To the maximum extent permitted by law, FlashWeb and Devra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount you paid for services in the preceding 12 months.

Indemnification

You agree to indemnify and hold harmless FlashWeb, Devra, and their employees from any claims, damages, or expenses arising from your use of our services, your content, or your violation of these terms.

Termination

Either party may terminate services:

• You may cancel services with 30 days notice
• We may terminate for violation of these terms
• Upon termination, we will provide your website files upon request
• Unpaid fees remain due after termination

Modifications to Terms

We may modify these terms at any time. Significant changes will be communicated via email or website notice. Continued use of services after changes constitutes acceptance of new terms.

Governing Law

These terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.

Severability
